These Terms of Service ("Terms") constitute a legally binding agreement between the entity registering for the Service ("Agency," "you," or "your") and QuoteSweep LLC, a limited liability company ("QuoteSweep," "we," "our," or "us"). These Terms govern your access to and use of the QuoteSweep platform, including our website at www.quotesweep.com (the "Site"), our web application, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization. If you do not agree to these Terms, do not use the Service.
1. Overview of the Service
QuoteSweep is a commercial insurance multi-carrier quoting platform designed for independent insurance agencies. The Service enables authorized insurance agents to submit business information once and simultaneously obtain comparative premium quotes from multiple insurance carriers through automated interaction with carrier quoting portals.
The Service uses browser automation technology to access carrier portals, populate form fields with data you provide, and extract quote results on your behalf. The Service acts as your agent and tool — not as an insurance broker, carrier, or underwriter.
QuoteSweep does not sell, bind, underwrite, or issue insurance policies. We do not provide insurance advice, coverage recommendations, or endorsements of any carrier or policy. All insurance transactions, including policy binding and payment, occur directly between you and the applicable carrier.
2. Eligibility and Account Registration
2.1 Eligibility
The Service is available only to licensed insurance agencies and their authorized personnel operating in the United States. By registering, you represent and warrant that:
- Your agency holds all required licenses to transact insurance in the states where you operate
- You are duly appointed with each carrier whose portal you access through the Service
- The individual registering the account has the authority to bind the Agency to these Terms
- You are at least 18 years of age
2.2 Account Structure
Each Agency receives a single organizational account. The Agency account owner (the "Account Owner") may invite additional users ("Agency Users") with designated roles:
- Owner: Full administrative access, billing management, credential management, user management
- Admin: User management, credential management, quoting, reporting
- Agent: Quoting, viewing results, generating proposals
The Account Owner is responsible for all activity that occurs under the Agency account, including activity by all Agency Users.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to immediately notify us at security@quotesweep.com if you become aware of any unauthorized access to or use of your account.
3. Carrier Credentials
3.1 Providing Credentials
To enable the Service to access authenticated carrier portals on your behalf, you may store your carrier portal login credentials ("Carrier Credentials") within the Service. This includes usernames, passwords, multi-factor authentication configurations, and security question answers.
3.2 Authorization and Representation
By providing Carrier Credentials, you represent and warrant that:
- You are authorized to access each carrier portal for which you provide credentials
- Your use of the Service to access carrier portals does not violate your carrier appointment agreements
- You have the right to authorize a third-party tool to access carrier portals on your behalf using your credentials
- The credentials you provide are accurate and belong to your Agency
3.3 Security of Carrier Credentials
We encrypt all Carrier Credentials at rest using AES-256 encryption. Credentials are decrypted in memory only during active quoting sessions and are never stored in plaintext, logged, or accessible to QuoteSweep personnel. Browser automation sessions are ephemeral and isolated; session environments are destroyed after each quoting operation.
3.4 Credential Removal
You may remove any Carrier Credential at any time through the Carrier Panel settings page. Upon removal, the encrypted credential is permanently deleted from our systems within 30 days.
3.5 Credential Validity
You are responsible for keeping Carrier Credentials current. If a carrier changes your password, rotates your credentials, or modifies its portal authentication requirements, you must update your credentials in the Service. We are not responsible for failed quoting attempts due to invalid, expired, or revoked credentials.
4. Use of the Service
4.1 Permitted Use
You may use the Service solely for your Agency's internal business purposes of obtaining, comparing, and managing commercial insurance quotes for your Agency's clients. This includes:
- Submitting client business information to obtain carrier quotes
- Comparing quote results across carriers and lines of business
- Generating proposals and comparison documents for your clients
- Managing client records, quote history, and renewal tracking
- Importing client data from Agency Management Systems (AMS) and ACORD forms
- Exporting data for use in your Agency's operations
4.2 Prohibited Conduct
You agree not to:
- Use the Service for any purpose other than commercial insurance quoting and related agency operations
- Provide false, misleading, or fraudulent information in insurance submissions
- Access carrier portals for which you are not authorized or appointed
- Use the Service to submit insurance applications without the knowledge and consent of the insured party
- Attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Service
- Circumvent, disable, or interfere with any security features of the Service
- Use the Service to scrape, harvest, or collect carrier data for purposes unrelated to obtaining quotes for your clients
- Resell, sublicense, or provide access to the Service to any third party without our prior written consent
- Use the Service in a manner that violates any applicable law, regulation, or carrier agreement
- Introduce malware, viruses, or other harmful code into the Service
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
- Use the Service to engage in rate manipulation, premium fraud, or any form of insurance fraud
- Share your QuoteSweep account credentials with individuals outside your Agency
4.3 Compliance with Laws and Carrier Terms
You are solely responsible for ensuring that your use of the Service complies with all applicable federal, state, and local laws and regulations, including insurance licensing requirements, privacy laws, and data protection regulations. You are also responsible for ensuring that your use of the Service complies with the terms of use and acceptable use policies of each carrier portal you access through the Service.
5. Client Data
5.1 Ownership
You retain all right, title, and interest in and to the Client Data you submit through the Service. QuoteSweep does not claim ownership of your Client Data.
5.2 License Grant
By submitting Client Data through the Service, you grant QuoteSweep a limited, non-exclusive, worldwide license to use, process, store, and transmit the Client Data solely for the purposes of providing, maintaining, and improving the Service. This license terminates when you delete the applicable Client Data or close your account.
5.3 Data Accuracy
You are solely responsible for the accuracy and completeness of all Client Data submitted through the Service. QuoteSweep does not verify, validate, or audit the information you provide. Inaccurate or incomplete data may result in inaccurate quotes, declined applications, or policy cancellations for which QuoteSweep bears no responsibility.
5.4 Data Isolation
Client Data is logically isolated between Agency accounts. No Agency can access another Agency's Client Data, quotes, or credentials through the Service.
5.5 Data Export and Portability
You may export your Client Data and quote history at any time through the Service's export functionality. Upon account termination, you will have 30 days to export your data before it is scheduled for deletion.
5.6 Data Deletion
You may delete individual client records, quote history, and Carrier Credentials at any time through the Service. Upon account closure, we will delete or de-identify your Client Data within 90 days, except as required by law or as set forth in our Privacy Policy.
6. Subscription Plans and Pricing
6.1 Plans
The Service is offered through tiered subscription plans, each with defined quote volume limits, user seat limits, and feature access. Current plan details are available on our pricing page at www.quotesweep.com/pricing. We reserve the right to modify plan features and pricing upon 30 days' prior written notice.
6.2 Free Tier / Trial
We may offer a limited free trial or initial free quotes to allow you to evaluate the Service. Free trials are subject to usage limits and may be modified or discontinued at any time. Free trial accounts that are not converted to paid subscriptions may be deactivated after 30 days.
6.3 Fees and Payment
Subscription fees are billed in advance on a monthly or annual basis, depending on the billing cycle you select. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms.
Payment is processed through our third-party payment processor. You authorize us to charge the payment method on file for all applicable fees. If payment fails, we will notify you and may suspend access to the Service if payment is not received within 10 business days.
6.4 Overage Charges
If your usage exceeds the quote volume included in your subscription plan during a billing cycle, overage charges will apply at the per-quote rate specified for your plan. Overage charges are billed at the end of each billing cycle.
6.5 Taxes
All fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, and similar taxes imposed by any governmental authority, except for taxes based on QuoteSweep's net income.
6.6 Price Changes
We may change subscription pricing upon 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.
7. Term and Termination
7.1 Term
These Terms are effective as of the date you first access or use the Service and continue until terminated by either party.
7.2 Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at support@quotesweep.com. Cancellation takes effect at the end of your current billing cycle. No refunds are provided for partial billing periods.
7.3 Termination by QuoteSweep
We may suspend or terminate your access to the Service immediately and without notice if:
- You materially breach these Terms and fail to cure such breach within 15 days of written notice (where cure is possible)
- You engage in prohibited conduct under Section 4.2
- You fail to pay fees when due and such failure continues for 10 business days after notice
- We are required to do so by law, regulation, or legal process
- Continued provision of the Service to you would create a material risk to the Service, our other users, or any third party
We may also discontinue the Service entirely upon 90 days' prior written notice.
7.4 Effect of Termination
Upon termination:
- Your right to access and use the Service ceases immediately (or at the end of your billing cycle, for cancellations by you)
- You will have 30 days from the effective date of termination to export your Client Data
- After the export period, we will delete your Client Data and Carrier Credentials in accordance with our Privacy Policy
- Sections 5.1 (Data Ownership), 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 14 (General Provisions) survive termination
8. Intellectual Property
8.1 QuoteSweep IP
The Service, including its software, algorithms, carrier field mappings, user interface designs, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of QuoteSweep LLC. Nothing in these Terms grants you any right, title, or interest in the Service except the limited right to use it in accordance with these Terms.
8.2 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant QuoteSweep an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate the Feedback into the Service without any obligation to you.
8.3 Usage Data
We may collect and use aggregated, de-identified usage data derived from your use of the Service (e.g., carrier portal success rates, average quote times, field mapping accuracy metrics) to improve and operate the Service. Such aggregated data does not identify you or your clients and is not considered Client Data.
9. Disclaimers
9.1 "As Is" Basis
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, QuoteSweep disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
9.2 No Guarantee of Availability or Accuracy
QuoteSweep does not warrant that:
- The Service will be uninterrupted, error-free, or available at all times
- Quote results returned from carrier portals will be accurate, complete, or current
- All carrier portals will be accessible at all times or compatible with the Service
- Carrier field mappings will be free of errors or will capture all portal changes immediately
- Browser automation sessions will complete successfully for every carrier and every submission
9.3 Carrier Portal Dependency
The Service depends on the availability, functionality, and structure of third-party carrier portals over which QuoteSweep has no control. Carriers may change their portals, require additional authentication steps, implement bot-detection measures, experience outages, or restrict automated access at any time and without notice. QuoteSweep is not responsible for the actions, omissions, or policies of any carrier.
9.4 Not Insurance Advice
The Service is a quoting tool, not an insurance advisor. QuoteSweep does not provide insurance advice, coverage recommendations, or opinions on the suitability of any policy or carrier. You are solely responsible for evaluating quote results, advising your clients, and making coverage and binding decisions in your professional capacity as a licensed insurance agent.
9.5 No Guarantee of Savings or Results
QuoteSweep does not guarantee any specific time savings, revenue increases, quote volumes, or business outcomes. Marketing materials and promotional content that reference potential savings or results are illustrative only and are not warranties or guarantees.
10. Limitation of Liability
10.1 Exclusion of Consequential Damages
To the maximum extent permitted by applicable law, in no event shall QuoteSweep, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, loss of goodwill, or cost of procurement of substitute services, arising out of or related to these Terms or the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if QuoteSweep has been advised of the possibility of such damages.
10.2 Cap on Liability
QuoteSweep's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you to QuoteSweep during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100).
10.3 Specific Exclusions
Without limiting the foregoing, QuoteSweep shall have no liability for:
- Inaccurate, incomplete, or outdated quotes returned by carrier portals
- Decisions made by you or your clients based on quote results obtained through the Service
- Losses arising from carrier portal outages, changes, or restrictions on automated access
- Losses arising from invalid, expired, or compromised Carrier Credentials
- Actions taken by carriers in response to applications submitted through the Service, including declinations, cancellations, or policy modifications
- Any insurance claim, coverage dispute, or regulatory action arising from policies quoted, proposed, or bound using information obtained through the Service
10.4 Basis of the Bargain
The limitations of liability in this Section 10 are a fundamental element of the basis of the bargain between you and QuoteSweep. The Service would not be provided without such limitations.
11. Indemnification
11.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless QuoteSweep and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service in violation of these Terms
- The accuracy or completeness of Client Data you submit through the Service
- Your violation of any applicable law, regulation, or carrier agreement
- Any allegation that your use of the Service infringes the rights of a third party
- Any insurance transaction, coverage dispute, or regulatory proceeding arising from your use of the Service
- Unauthorized access to your account resulting from your failure to maintain account security
11.2 Indemnification Procedures
We will provide you with prompt written notice of any claim subject to indemnification (provided that failure to provide timely notice will not relieve your obligations except to the extent you are materially prejudiced). You will have the right to control the defense and settlement of any such claim, provided that you may not settle any claim in a manner that imposes obligations on QuoteSweep or admits fault on behalf of QuoteSweep without our prior written consent.
12. Confidentiality
12.1 Definition
"Confidential Information" means any non-public information disclosed by one party to the other in connection with these Terms, including Client Data, Carrier Credentials, business plans, technical information, pricing, and the terms of any order form or agreement. Confidential Information does not include information that is publicly available, independently developed, rightfully received from a third party without restriction, or required to be disclosed by law.
12.2 Obligations
Each party agrees to protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information (but no less than reasonable care), and to use such information only for purposes related to these Terms.
12.3 Required Disclosures
A party may disclose Confidential Information to the extent required by law, regulation, or legal process, provided that it gives the other party prompt notice (to the extent legally permitted) and cooperates in seeking protective treatment of the information.
13. Dispute Resolution
13.1 Informal Resolution
Before initiating any formal proceedings, the parties agree to attempt to resolve disputes informally by contacting each other in writing. The parties will have 30 days from the date of the written notice to attempt resolution.
13.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
13.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, you and QuoteSweep each waive any right to a jury trial.
13.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened misappropriation of intellectual property or confidential information.
13.5 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws provisions.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, any applicable order form, and any supplemental terms we may provide, constitute the entire agreement between you and QuoteSweep regarding the Service and supersede all prior agreements, understandings, and communications.
14.2 Amendments
We may modify these Terms at any time by posting updated Terms on the Site. Material changes will be communicated to you via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any modification constitutes acceptance of the modified Terms.
14.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
14.4 Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the waiving party.
14.5 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. QuoteSweep may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their successors and assigns.
14.6 Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, internet or telecommunications failures, or third-party service outages (including carrier portal outages).
14.7 Notices
All notices under these Terms shall be in writing and delivered by email. Notices to QuoteSweep shall be sent to legal@quotesweep.com. Notices to you shall be sent to the email address associated with your account.
14.8 Independent Contractors
The relationship between you and QuoteSweep is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
14.9 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Insurance carriers, AMS providers, and other third parties are not beneficiaries of these Terms.
14.10 Export Compliance
You agree to comply with all applicable export control laws and regulations in connection with your use of the Service.
15. Insurance Industry-Specific Terms
15.1 No Carrier Endorsement
The inclusion of any carrier in the Service does not constitute an endorsement, recommendation, or partnership between QuoteSweep and that carrier. Carrier availability through the Service does not guarantee that any carrier will issue a quote, accept an application, or bind coverage.
15.2 Agent Responsibility
You acknowledge that you are a licensed insurance professional and that you bear full professional responsibility for all insurance advice, recommendations, coverage selections, and binding decisions made in connection with quotes obtained through the Service. The Service is a tool that assists your workflow; it does not replace your professional judgment or fiduciary obligations to your clients.
15.3 Carrier Portal Changes
Carriers may modify, restrict, or discontinue their portals at any time. If a carrier portal becomes incompatible with the Service, we will use commercially reasonable efforts to update our field mappings, typically within 24–48 hours. However, we do not guarantee uninterrupted access to any carrier portal.
15.4 Quote Accuracy Disclaimer
Quotes obtained through the Service are generated by carrier portals based on the data you submit. QuoteSweep does not independently verify or guarantee the accuracy of any quote. Final premiums, terms, and conditions are determined solely by the issuing carrier and may differ from initial quote indications.
15.5 Regulatory Compliance
You are solely responsible for ensuring that your use of the Service and the insurance transactions you conduct comply with all applicable state insurance department regulations, licensing requirements, and professional conduct standards.
